Job DetailsWe are seeking an experienced Corporate Paralegal to join our Corporate & Business Law practice. This role supports attorneys in advising businesses on corporate governance, commercial transactions, mergers and acquisitions, employment matters, and general corporate legal issues.
The ideal candidate is highly organized, detail-oriented, and thrives in a fast-paced legal environment while managing multiple matters simultaneously.
Responsibilities:
- Assist attorneys with corporate and business transactions from inception through closing
- Prepare, organize, and maintain corporate records and minute books
- Draft corporate documents including:
- Organizational documents
- Board and shareholder resolutions
- Operating agreements
- Shareholder agreements
- Corporate consents
- Assist with stock and asset purchase transactions
- Coordinate due diligence and closing document organization
- Prepare and file business entity formation and qualification documents
- Prepare annual reports and Secretary of State filings
- Assist with drafting commercial service, vendor, supplier, and confidentiality agreements
- Support preparation of employment agreements and employment-related policies
- Conduct legal research and assist with corporate compliance projects
- Manage document production, transaction binders, and closing checklists
- Communicate with clients, government agencies, and outside parties as needed
- Maintain accurate case files and corporate records
Qualifications:
- Paralegal certificate or equivalent combination of education and experience
- Experience supporting corporate, business, or transactional attorneys
- Strong knowledge of corporate governance and business entities
- Experience with commercial contracts and corporate transactions
- Familiarity with entity formation and Secretary of State filings
- Experience assisting with mergers and acquisitions or corporate transactions is highly preferred
- Excellent organizational, communication, and drafting skills
- Ability to prioritize multiple deadlines while maintaining exceptional attention to detail
- Proficiency with Microsoft Office and legal document management systems
